OF
ALGOMA COMMUNITY BAND
CONSTITUTION
Article I – Name
Section 1 The name of this organization shall be the Algoma Community Band, hereafter referred to as ACB.
Article II – Purpose
Section 1 This organization is organized exclusively for the charitable and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code
Section 2 The ACB exists to provide instrumental music for Algoma and its surrounding communities.
Article III – Membership
Section 1 All persons with the skill to read music, play a musical instrument, and participate in the ACB shall be considered as members. Membership is open to anyone who has experience and loves playing a musical instrument.
Section 2 There shall be no dues or fees assessed to any individual desiring to be a member of ACB.
Section 3 Students capable of performing at the high school level are welcome with recommendation from their band instructor.
Article IV- Non-discrimination
It shall be the policy of the ACB that no person will be excluded from participation, or be otherwise subjected to discrimination regardless of race, color, national origin, ancestry, gender, age, religion, marital status, medical condition or disability.
Article V – Executive Board
Section 1 The Executive Board shall consist of six (6) voting members (President, Vice President, Secretary, Treasurer, along with two (2) Members-at-Large, elected from ACB members).
Section 2 Duties of the Executive Board include:
President: The president shall preside at all meetings of the Executive Board and ACB meetings.
Vice President: The vice president shall perform those duties assigned to him/her by the president, and in the president’s absence, perform the president’s duties with the same power.
Secretary: This person shall act as secretary for the Executive Board and the ACB.
Treasurer: The treasurer shall have general supervision for all financial aspects of the Executive Board and ACB. The Treasurer will file the necessary forms for the IRS.
Members-at-Large: The members-at-large shall serve on the Executive Board.
Section 3 The Executive Board members shall serve two-year terms and be eligible for re-election to the same position every second year.
Article VI – Meetings:
Section 1 Executive Board: The Executive Board shall meet at the request of three (3) voting members of the Board. Non-members of the Executive Board may attend Executive Board meetings at the invitation of the President.
Section 2 General Membership: The Executive Board shall arrange the annual meeting in September for discussion, elections, and decisions about music and performances, including such topics as content, scheduling, and other related items.
Section 3 Order of Business: All meetings shall be conducted under Robert’s Rules of Order, newly Revised, in which case they are applicable and do not conflict with the ACB by-laws.
Article VII- Amendments
The Constitution may be amended by a two-thirds vote at any general meeting of the ACB provided that proposed amendments have been previously studied by the Executive Board.
BY-LAWS
Article I – Officers/Staff
Section 1 The President shall serve as an ex-officio member of all committees. He/she shall authorize any bills of expense incurred by committees or members of the organization in the conduct of association business.
Section 2 The Vice-President shall assume the duties of the President in the absence of the President and assume duties as designated by the President.
Section 3 The Secretary shall keep complete and accurate minutes, which will be kept in a minute’s book, of all meetings of the organization including those of the Board of Directors. He/she shall be responsible for proper dissemination of such minutes and for all appropriate correspondence of his/her office and for such communications as assigned by the President.
Section 4 The Treasurer will keep accurate financial records of the organization. He/she shall have charge of the books of account, shall collect all monies due the organization, and upon approval of bills, make payment of same. They shall maintain a current and active roster of all members of the organization. They will present all books of account to the Board of Directors annually, and/or on demand for audit.
Section 5 The Executive Board may appoint a band conductor in case of a vacancy or may dismiss he/she with due cause.
Article II – Quorum
Section 1 A majority of the members of the Executive Board or committees appointed by the Executive Board shall be considered a quorum for such meetings. Business may be conducted via e-mail, phone, or other means.
Section 2 A majority of ACB members must be present at a duly announced meeting to constitute a quorum for general membership meetings.
Article III – Power of the Executive Board
Section 1 The Executive Board shall be responsible for management of the ACB by approving expenditures, suggestions for consideration, and carrying out policies approved by the ACB membership.
Section 2 The Executive Board has the same power as that of the ACB at times when the general membership meetings are impractical.
Section 3 The Executive Board shall appoint a member to the board due to a vacancy.
Article IV – Financial Management
Section 1 All financial records are maintained by the treasurer. In the absence of the treasurer, the president may conduct financial transactions.
Section 2 In dissolution of the ACB, all assets will be turned over to the Algoma School District Instrumental Music Program. However, if the named recipient is not then in existence, or no longer a qualified recipient, or unwilling or unable to accept the distribution, the assets of this organization shall be distributed to a fund, foundation, or organization which is organized and operated exclusively for the purposes specified in Section 501(c) (3) of the Internal Revenue Code.
Article V – Elections
Section 1 Elections shall be held by ballot at the Annual September meeting to fill the expired term of office of the Executive Board positions. Newly elected Executive Board members will assume their duties directly following the annual meeting.
Article VI – Amendment
Section 1 These by-laws may be amended by a majority vote at any general meeting of the ACB provided that proposed amendments have been previously studied by the Executive Board.
This Constitution and these by-laws of the Algoma Community Band have been approved by the members of the general membership meeting this 17th day of September 2014.
